End User Licence Agreement (EULA)

1. Acceptance of this Agreement
By downloading, installing or using the Overtune mobile application (“App”) you acknowledge that you have read, understood and agree to be bound by this End-User Licence Agreement (“Agreement”). If you do not accept these terms, do not install or use the App.
2. Licence Grant
Subject to your compliance with this Agreement, Overtune (“we”, “us”, “our”) grants you a limited, non-exclusive, non-transferable, revocable licence to:
- download and install one copy of the App on each device that you own or control;
- access and use the App solely for your personal, non-commercial purposes.
3. Restrictions
You must not:
- copy, modify, adapt, translate, reverse engineer, decompile or disassemble any portion of the App except as expressly permitted by law;
- rent, lease, loan, resell, sublicense, distribute or otherwise transfer the App to any third party;
- use the App to create or promote products or services that compete with Overtune;
- circumvent or attempt to circumvent any technological protection measures in the App;
- use the App for any unlawful, harmful or fraudulent purpose.
4. Intellectual Property
All intellectual property rights in the App and its content (excluding User Content, see section 5) remain the exclusive property of Overtun or its licensors. Except for the limited licence granted above, nothing in this Agreement transfers any rights to you.
5. User Content, Community Standards & Objectionable Content
5.1 Your Content
You are solely responsible for any content you upload, post or transmit via the App (“User Content”). You retain ownership of your User Content. By submitting it you:
- grant us a worldwide, royalty-free, non-exclusive licence to use, reproduce, adapt, publish and display it for the purpose of operating and promoting the App;
- warrant that you have all necessary rights to grant this licence and that your content does not infringe any third-party rights or violate any law.
5.2 No Tolerance for Objectionable Content or Abuse
Overtune maintains zero tolerance for objectionable content or abusive behaviour. You must not post or share any content that is:
- hateful, harassing, defamatory or threatening;
- pornographic, sexually explicit or exploitative;
- racist, discriminatory or violent;
- illegal, fraudulent or encouraging illegal activity;
- spam, advertising or solicitation;
- otherwise offensive or contrary to community standards as determined by us.
5.3 User-Controlled Deletion
You may delete your own posts or comments at any time using the in-app ‘Delete’ option. Deleting a post removes it immediately from the public feed.
5.4 Reporting & 24-Hour Response
Users can flag any content or behaviour that breaches this Agreement via the in-app “Report” button or by email to report@overtune.app. We review all reports within 24 hours. If content is deemed objectionable we will remove it promptly and may suspend or permanently eject the user who provided it.
We reserve the right (but have no obligation) to edit, remove or restrict any User Content or account that violates these standards.
6. Privacy
Our handling of personal data is governed by the Overtune Privacy Policy, which forms part of this Agreement. By using the App you consent to the collection and processing of your data as described in the Privacy Policy.
7. Updates
We may provide updates or upgrades to the App. Unless accompanied by a separate licence, such updates are provided under this Agreement. We are not obliged to provide any support or future updates.
8. Disclaimer of Warranties
The App is provided “as is” and “as available” without any warranties of any kind, whether express or implied, including but not limited to satisfactory quality, fitness for a particular purpose and non-infringement. We do not warrant that the App will be uninterrupted, secure or error-free, or that any defects will be corrected.
9. Limitation of Liability
To the maximum extent permitted by law, Overtune and its directors, employees, agents or suppliers shall not be liable for:
- any indirect, incidental, special, consequential or punitive damages;
- any loss of data, profits, revenue, goodwill or opportunity;
arising out of or in connection with the use or inability to use the App, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the amount you paid (if any) to use the App during the twelve months preceding the claim.
10. Indemnity
You agree to indemnify and hold harmless Overtun from any claims, losses, damages, liabilities and expenses (including reasonable legal fees) arising out of your breach of this Agreement or misuse of the App.
11. Termination
This Agreement is effective until terminated. We may suspend or terminate your access to the App without notice if you breach this Agreement, including the community standards in section 5. Upon termination you must cease all use of the App and delete all copies from your devices. Sections 4, 8, 9, 10 and 12 survive termination.
12. Governing Law and Jurisdiction
This Agreement is governed by the laws of England and Wales. Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the English courts.
13. Changes to this Agreement
We may modify this Agreement at any time. Updated terms will be posted in-app or on our website. Continued use of the App after the effective date of any change constitutes acceptance of the revised terms.
